1. Agreement to Terms

By accessing or using the RegCore.AI website (“Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you should not use the Site. These Terms apply to all visitors, users, and others who access or use the Site.

2. Description of Services

RegCore.AI (“we”, “the firm”) is an AI-enabled compliance firm. We provide advisory services, regulatory playbooks, and digital compliance officers to help regulated institutions meet their governance and compliance obligations. The information on this Site is for general informational purposes and does not constitute legal or regulatory advice.

3. Engagement Terms

All advisory and compliance services are delivered under separate engagement letters or statements of work (“SOWs”) executed between RegCore.AI and the client. These Terms govern use of the Site only; the specific terms of any engagement are set out in the applicable engagement letter or SOW.

4. Intellectual Property

All content on this Site, including regulatory playbooks, frameworks, methodologies, software, and documentation, is the intellectual property of RegCore.AI or its licensors and is protected by applicable intellectual property laws. Deliverables produced under a client engagement are governed by the terms of the applicable engagement letter or SOW.

You may not reproduce, distribute, or create derivative works from any content on this Site without prior written consent from RegCore.AI.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged through the Site or during the course of an engagement. RegCore.AI upholds professional obligations of confidentiality in all client matters. Confidentiality obligations survive the termination of any engagement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, RegCore.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services. Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to RegCore.AI in the twelve months preceding the claim.

The information on this Site is provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

8. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.
